Company Secretary Services
Having a corporate secretary is a precondition for registering a company in Hong Kong. Each Hong Kong company is required by law to appoint a qualified company secretary who resides in Hong Kong and is knowledgeable on domestic corporate law and regulations.
Accolade offers corporate secretarial services to assist our corporate clients in fulfilling their statutory obligations under the Hong Kong Companies Ordinance and in satisfying the registration requirements set by the Hong Kong Companies Registry (“Registry”). Our corporate secretarial services include:
maintenance of the company’s statutory register;
arranging and sending of the notices of meetings (board of directors and shareholders)
preparation of the minutes of the meetings;
timely preparation and filing of annual returns to the Registry;
timely filing of accurate statutory information;
maintenance and update of any changes to the Registry (e.g. registered office address, resignation and appointment of directors/corporate secretary, particulars of directors/corporate secretary, company name, allotment or issuance of new shares, increase in capital)
providing advice with respect to clients’ compliance with Hong Kong Companies Ordinance.
